5. Services and Engagement

5.1 Scope of Services

Our services include, but are not limited to: computer systems design, systems integration, IT security consulting, cloud infrastructure solutions, technical consulting, network infrastructure deployment, managed IT support, and research and development. The specific scope, deliverables, timelines, and fees for any engagement will be defined in a separate service agreement or statement of work.

5.2 Quotations and Pricing

Quotations provided by Neilin Tech are valid for a period of 30 days from the date of issue, unless otherwise stated. All prices are in Chinese Yuan (CNY) unless otherwise specified. We reserve the right to adjust pricing based on changes in project scope, market conditions, or client requirements.

5.3 Payment Terms

Payment terms will be specified in individual service agreements. Unless otherwise agreed:

  • A deposit may be required before work commences.
  • Invoices are due within 15 days of the invoice date.
  • Late payments may incur interest charges at a rate of 1.5% per month or the maximum rate permitted by law.
  • We reserve the right to suspend work or withhold deliverables in the event of non-payment.

5.4 Client Responsibilities

You agree to:

  • Provide accurate, complete, and timely information necessary for the delivery of services.
  • Cooperate in good faith and provide reasonable access to your personnel, facilities, and systems as required.
  • Make timely decisions when approvals or feedback are needed to keep the project on schedule.
  • Ensure that you have the legal authority to engage us for the services requested.

6. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Neilin Tech and its officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Site or services, including but not limited to loss of profits, data, goodwill, or business interruption.
  • Our total liability for any claim arising from or related to these Terms or our services shall not exceed the total amount paid by you to Neilin Tech in the twelve (12) months preceding the event giving rise to the claim.
  • This limitation of liability applies whether the claim is based on contract, tort (including negligence), strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.
  • Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

7. Disclaimer of Warranties

The Site and all content, materials, and services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. To the fullest extent permitted by law, Neilin Tech disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
  • Warranties that the Site will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

11. Force Majeure

Neither party shall be liable for any failure or delay in performing obligations under these Terms where such failure or delay is due to circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, government actions, pandemics, strikes, labor shortages, power failures, network outages, or failure of third-party service providers. The affected party shall notify the other party promptly and take reasonable steps to mitigate the impact.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions. Any disputes, controversies, or claims arising out of or relating to these Terms or the services shall first be resolved through amicable negotiation. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to the competent court in Hefei, Anhui Province, China.

Notwithstanding the foregoing, Neilin Tech reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

13. Entire Agreement

These Terms, together with any service agreements, statements of work, and our Privacy Policy, constitute the entire agreement between you and Neilin Tech regarding your use of the Site and our services. They supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14. Waiver and Severability

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Failure to assert a right or provision under these Terms shall not constitute a waiver of that right or provision. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full effect.
